MANAGEMENT

      BRG was formed in September 2004 by former officers, directors and shareholders of BRG Petroleum Corporation. The principal members of BRG are Corona Resources, Ltd. (which is owned by the family of B. J. Reid), Mike W. Burkhart (and members of Mike W. Burkhart’s immediate family), James L. Burkhart, Clyde Wootton, Steven J. Williams, Scott S. Gruns and certain entities owned by the family of Robert E. Gee. BRG Energy Inc., a Delaware corporation under common control as BRG, is the Manager of BRG. As Manager of BRG, BRG Energy Inc. will have the sole and exclusive right to manage and conduct BRG’s businesses and affairs. The directors, officers and key employees of BRG Energy Inc. and their respective positions are as follows:

Biographical sketches of the members, officers and key employees of BRG are as follows:

James L. Burkhart. Mr. Burkhart graduated from Texas A&M University in 1957 with a B.S. degree in petroleum engineering and attended the graduate school of business of The University of Tulsa in 1968-1969 and Stanford University’s executive Partnership in 1974. He joined a predecessor to Amoco Production Company in 1957 and held various staff and engineering management positions with those entities until 1969. At that time, he joined Cotton Petroleum Corporation, Tulsa, Oklahoma, as vice president, production. He became a director of Cotton in 1971, executive vice president in 1973 and president and chief operating officer in 1976. He joined Santa Fe Industries as president of Santa Fe Natural Resources, Inc. and chief executive officer of Santa Fe Energy Company in 1979. In mid-1980 Mr. Burkhart formed Burkhart Petroleum Corporation in Tulsa, Oklahoma, and was its chairman, president and chief executive officer until leaving at the end of 1986 to form BRG Petroleum, Inc. in June 1987. Upon the sale of BRG Petroleum, Inc. in May 1998, he co-founded BRG Petroleum Corporation. Upon the sale of BRG Petroleum Corporation in February, 2005, he co-founded BRG and BRG Energy Inc. Cotton Petroleum Corporation, Burkhart Petroleum Corporation, BRG Petroleum, Inc. and BRG Petroleum Corporation each operated investor funded joint ventures and limited partnerships. Mr. Burkhart is the father of Mike W. Burkhart.

B. J. Reid. Mr. Reid graduated from Texas A&M University in 1979 with a B.S. degree in petroleum engineering and received an M.B.A. from The University of Tulsa in 1984. Mr. Reid began his career with Sun Oil Company and held various operational and engineering assignments in East Texas and Louisiana until 1981. At that time, he joined Burkhart Petroleum Corporation in Tulsa, Oklahoma, as district engineer. He became engineering manager of Burkhart Petroleum in 1984 and remained in that position until becoming a co-founder of BRG Petroleum, Inc. in June 1987. Upon the sale of BRG Petroleum, Inc., he co-founded BRG Petroleum Corporation in May 1998. Upon the sale of BRG Petroleum Corporation in February, 2005, he co-founded BRG and BRG Energy Inc. BRG Petroleum, Inc. and BRG Petroleum Corporation each operated investor funded joint ventures and limited partnerships.

Mike W. Burkhart. Mr. Burkhart graduated from the University of Oklahoma with a B.B.A. degree in 1976. Following almost two years with a public accounting firm, he joined Amoco Production Company in Houston as a landman in late 1977 and remained until 1981, attaining the position of senior staff landman. He joined Towner Petroleum Company in 1982 as mid-continent regional land manager in Oklahoma City. In May 1984, he joined Sohio Petroleum Company and was made district land manager in 1986. He remained with Sohio and its successors, BP Exploration and Tex/Con Oil & Gas Company, until joining BRG Petroleum, Inc. in January 1992. Upon the sale of BRG Petroleum, Inc., he joined BRG Petroleum Corporation in June 1998. Upon the sale of BRG Petroleum Corporation in February, 2005, he co-founded BRG and BRG Energy Inc. BRG Petroleum, Inc. and BRG Petroleum Corporation each operated investor funded joint ventures and limited partnerships. Mr. Burkhart is the son of James L. Burkhart.

Robert E. Gee. Mr. Gee graduated from Virginia Military Institute in 1954 with a B.S. in civil engineering and from Stanford University in 1961 with an M.B.A. degree. He joined IBM Corporation in 1961 and held various marketing and financial positions until 1969. After a marketing career with Microform Data Systems and Memorex, Mr. Gee entered the investment field on a full-time basis in 1973 with Capital Analysts, Inc. In 1976, he was a co-founder of Capital Concepts Investment Corp. In January 1982, after resigning from Capital Concepts, he co-founded Stanford Investment Group, Inc. and has been chairman of that organization since inception. Stanford Investment Group, Inc. is a broker/dealer and registered investment advisor. Upon the sale of BRG Petroleum, Inc., he co-founded BRG Petroleum Corporation in May 1998. Upon the sale of BRG Petroleum Corporation in February, 2005, he co-founded BRG and BRG Energy Inc. BRG Petroleum, Inc. and BRG Petroleum Corporation each operated investor funded joint ventures and limited partnerships.

Steven J. Williams. Mr. Williams graduated from Texas Tech University in 1980 with a B.B.A. in management and in 1982 with a B.B.A. degree in accounting. Mr. Williams started his career with Clark Resources, Inc., where he held various accounting positions, becoming controller in 1986. In 1989, Mr. Williams joined BRG Petroleum, Inc. as its Controller. Upon the sale of BRG Petroleum, Inc., he joined BRG Petroleum Corporation in June 1998. Upon the sale of BRG Petroleum Corporation in February, 2005, he co-founded BRG and BRG Energy Inc. BRG Petroleum, Inc. and BRG Petroleum Corporation each operated investor funded joint ventures and limited partnerships. Mr. Williams is a certified public accountant.

Clyde F. Wootton. Mr. Wootton graduated from Marietta College, Marietta, Ohio, with a B.S. in geology in 1972 and received an M.S. degree in geology from Ohio State University in 1974. He joined Texaco, Inc. in January 1975 as exploration geologist and Northern Natural Gas, Inc. in May 1977 where he was district exploitation geologist. Mr. Wootton joined Burkhart Petroleum Corporation in June 1980, as chief geologist, became exploration manager in October 1981, and vice president, exploration in October 1984. In January 1987, Mr. Wootton left Burkhart Petroleum Corporation and became an independent consulting geologist until assuming the duties of Exploration Manager of BRG Petroleum, Inc. in June 1990, and vice president, exploration in 1993. Upon the sale of BRG Petroleum, Inc., he joined BRG Petroleum Corporation in June 1998. Upon the sale of BRG Petroleum Corporation in February, 2005, he co-founded BRG and BRG Energy Inc. BRG Petroleum, Inc. and BRG Petroleum Corporation each operated investor funded joint ventures and limited partnerships.

Scott S. Gruns.  Mr. Gruns graduated from Texas A&M University in 1994 with a B.S. degree in petroleum engineering. He began his career with Mewbourne Oil Company handling various engineering assignments in Perryton, Texas and Hobbs, New Mexico.  He joined BRG Petroleum, Inc. in March 1997 and served as production engineer.  Upon the sale of BRG Petroleum, Inc., he joined BRG Petroleum Corporation in June 1998. Mr. Gruns was promoted to production manager in 1999, and to Vice President, Production in 2003. Upon the sale of BRG Petroleum Corporation in February, 2005, he co-founded BRG and BRG Energy Inc. BRG Petroleum, Inc. and BRG Petroleum Corporation each operated investor funded joint ventures and limited partnerships.

Brian J. Flynn.Mr. Flynn graduated from the University of Wyoming in 2004 with a B.S. degree in Geology. He joined BRG in November 2005 and served as a staff geologist. Mr. Flynn was promoted to senior geologist in 2010, exploration manager in 2013, and to Vice President – Geology in 2015.
